General Terms and Conditions (GTC) of me-Xpress GmbH

1. General Provisions

These General Terms and Conditions (GTC) govern all business relationships between me-Xpress GmbH and its customers. Deviating purchasing and delivery conditions of the customer are not recognized unless expressly confirmed by us in writing. These GTC apply for the entire duration of the business relationship and also for future orders, even if not explicitly referenced. Customers, as defined in these GTC, include both legal entities and natural persons.


2. Contract Conclusion and Orders
Orders must be clear and unambiguous to avoid misunderstandings. Changes and oral side agreements require our written confirmation. Delays or defects caused by incomplete or unclear information provided by the customer are the customer’s responsibility. We reserve the right to cancel an order if negative information about the customer becomes known subsequently.


3. Execution by Third Parties
We are entitled to engage third parties to fulfill our obligations if this seems appropriate. We are responsible for the careful selection and supervision of these third parties. Direct contact between the customer and the third parties engaged by us is only permitted with our approval.


4. Prices and Offers
All our offers and prices are non-binding and may be adjusted without prior notice. Unless otherwise agreed, our prices are quoted in euros and are net prices plus statutory VAT. Special services are charged separately based on effort.


5. Special Provisions for Translation and Interpretation Services
For translation services, prices are calculated per line, with a line containing a maximum of 50 characters including spaces. A minimum charge applies if the line price multiplied by the number of lines does not exceed this minimum amount. Interpretation services are billed hourly, including travel time, and all incurred expenses are the responsibility of the client. Additional services such as certifications or rush fees are billed separately.


6. Services and Delivery Conditions
The services provided by us correspond to the agreed order. Cancellations by the customer entitle us to charge cancellation fees and no-show fees. Delivery times are non-binding unless expressly agreed otherwise. Partial deliveries are permissible.


7. Liability and Warranty
We are not liable for damages caused by operational disruptions, force majeure, or external influences such as network and server failures. The customer is obligated to inspect delivered services immediately and to notify any defects in writing without delay. In the case of justified complaints, we have the right to rework or replace the service. Claims for damages are excluded, except in cases of intent or gross negligence.


8. Payment Terms
Invoices are payable within 14 days without deductions. The contracting party is liable for payment. In the event of late payment, we are entitled to request advance payments or withdraw from the contract. Ownership is retained until all claims have been fully settled.


9. Data Protection and Confidentiality
The customer agrees to the storage of their data in accordance with data protection laws. Confidential information provided by the customer will be kept confidential and used only for the provision of services. The obligation of confidentiality ends three years after the transmission of information.


10. Applicable Law and Jurisdiction
All legal relationships between the customer and us are governed by the law of the Federal Republic of Germany. The place of performance and jurisdiction is Münster, Germany.


11. Final Provisions
Should any provision of these GTC be invalid, the validity of the remaining provisions remains unaffected. Amendments to these GTC require written form.
